All invoices must be paid in full within 30 days of issuance unless otherwise stated in writing.
5. Service Suspension and Reactivation
If payment is not received within 60 days of the invoice date, all services will be suspended until the outstanding balance is paid in full.
Reactivating suspended services requires administrative and technical effort. Therefore, a reactivation fee of $350 may be charged to cover the time and resources involved in restoring services.
6. Administrative Fees for Collection Efforts
Clients who fail to make timely payments may be subject to administrative fees to cover the time and resources required to issue reminders, follow up on overdue invoices, and process collections.
- These fees will be applied only in cases of habitual late payments and will be disclosed in advance on the client's invoice.
- Administrative fees will be assessed based on reasonable collection costs and within North Carolina legal limits.
7. Intellectual Property & Service Licensing
Clark's Printing Service, Inc. provides services on a subscription-based licensing model. Clients are granted a limited, non-transferable, and revocable license to use the websites, designs, and technologies developed by Clark's Printing Service, Inc. while payments and agreements remain active.
Client Content vs. Company Content:
- Client-Owned Content: Clients retain ownership of any content they provide, including logos, text, images, and branding materials.
- Company-Created Content: Any custom content, articles, copywriting, SEO-optimized materials, graphic design elements, branding enhancements, or proprietary frameworks developed by Clark's Printing Service, Inc. remain our intellectual property unless a separate written agreement states otherwise.
- License to Use: Clients receive a non-exclusive, revocable license to use content created by Clark's Printing Service, Inc. during the duration of our working relationship. Upon termination of services, clients may not use, resell, or distribute our proprietary content, designs, or optimizations without express written permission.
8. SaaS Platform and Licensed Software Access
Clark's Printing Service, Inc. may provide access to software platforms, CRM systems, automation tools, portals, dashboards, communication systems, and other SaaS environments as part of its services.
Access to these systems is provided on a licensed, subscription-based basis and does not transfer ownership of the software, system architecture, automation workflows, templates, or platform configurations.
- Licensed Access: Clients receive a limited, revocable, non-transferable license to use the systems while services remain active and invoices remain current.
- No System Ownership: Clients do not obtain ownership of system structures, automation logic, CRM pipelines, funnel frameworks, SaaS templates, dashboards, or configurations created by Clark's Printing Service, Inc.
- Third-Party Platforms: Many services rely on third-party platforms, infrastructure providers, or software vendors. Clark's Printing Service, Inc. is not responsible for outages, service interruptions, pricing changes, or policy modifications imposed by these providers.
- Account Access: Access to SaaS systems may be suspended or revoked if services are terminated, invoices remain unpaid, or platform policies are violated.
- System Replication: Clients may not duplicate, copy, reverse engineer, replicate, or redistribute automation systems, funnel structures, templates, SaaS configurations, or proprietary frameworks developed by Clark's Printing Service, Inc.
9. Project Termination & Asset Transfer
Upon account termination, Clark's Printing Service, Inc. will provide an XML export of the website's basic content, which a professional developer can use to reconstruct the site.
However, proprietary assets including but not limited to custom-built designs, SEO-optimized content, branding elements, website frameworks, backend development tools, automation systems, and integrations remain the exclusive property of Clark's Printing Service, Inc. and will not be transferred.
10. Right to Refuse or Terminate Service
Clark's Printing Service, Inc. reserves the right to refuse, suspend, or terminate service at our discretion.
11. Limitation of Liability
To the fullest extent permitted by law, Clark's Printing Service, Inc. shall not be liable for any indirect, incidental, special, or consequential damages including lost profits, lost data, or business interruptions.
12. Force Majeure
Clark's Printing Service, Inc. shall not be liable for delays or failure in performance due to events beyond reasonable control.
13. Refund & Dispute Resolution
All payments made to Clark's Printing Service, Inc. are non-refundable unless otherwise stated. Disputes must be resolved via arbitration in North Carolina under AAA rules.
14. Confidentiality
Both parties agree to keep confidential all non-public information exchanged.
15. Acceptable Use Policy
Clients must adhere to ethical and legal use of digital resources.
16. Payment Methods for Habitually Late Clients
- Clients who consistently fail to make timely payments may be required to pay via check.

17. Delinquent Account Payment Method
Clark's Printing Service, Inc. reserves the right to require ACH, wire transfer, or check for delinquent accounts.
